Seekadu — A 24/7 AI Assistant for Your Business

These Terms and Conditions ("Terms") govern your access to and use of the Services provided by Seekadu Ltd. ("Seekadu", "we", "our", "us"). The Services include:

  • The Seekadu website (seekadu.com)
  • The Business Portal, where businesses configure and train their AI agent
  • Per-business AI chat interfaces — including publicly hosted business landing pages, the embeddable chat widget that businesses install on their own websites, and the on-Seekadu chat experience where end-users converse with a business's AI agent
  • Third-party messaging integrations through which a business's AI agent can receive and reply to messages — including Instagram Direct and Facebook Messenger, and any additional certified messaging channels we may add over time
  • Lead generation features within the chat
  • Any other services, features, or content provided under the Seekadu brand

By accessing or using the Services, you agree to be bound by these Terms. If you do not agree, you must discontinue using the Services.

1. Definitions

  • "Seekadu" — the AI-powered assistant platform operated by Seekadu Ltd.
  • "User" — any individual using the consumer-facing platform or AI chat (whether on Seekadu's website, on a business's own website via the embeddable widget, or via a connected third-party messaging integration).
  • "Business" — a company or individual registered on the Business Portal.
  • "Business Data" — menus, price lists, events, images, descriptions, offers, FAQs, links, files, or any other information submitted by a Business to train or operate its AI agent.
  • "AI Agent" — the conversational assistant that provides recommendations, answers, automation, and support to end-users on behalf of a Business.
  • "Content" — text, images, data, responses, and information generated or displayed through the Services.

2. Eligibility

You must be:

  • At least 16 years old, and
  • Legally capable of entering into binding agreements under the laws applicable to you.

Businesses must be legally registered entities or authorized representatives of such entities.

3. Description of the Services

3.1 For end-users

  • AI-powered discovery and recommendations across local services (such as restaurants, nightlife, salons, gyms, hotels, and similar categories)
  • Conversational answers, suggestions, and recommendations
  • Real-time responses based on publicly available information and Business-provided data

Seekadu does not guarantee availability, pricing, scheduling, or accuracy of any third-party services described or referenced through the AI Agent.

3.2 For Businesses

  • An AI Agent trained on the Business's own data
  • Self-onboarding via chat or form
  • Tools to update business information, services, prices, events, and offers
  • CRM, analytics, and re-engagement features (where available)
  • Multi-channel availability of the AI Agent — including the Seekadu website, a per-business landing page, an embeddable chat widget for the Business's own site, and supported third-party messaging integrations
  • Lead generation and customer query handling

Businesses remain fully responsible for the correctness, legality, and accuracy of the data they provide.

4. AI-Generated Content

The AI Agent generates responses using:

  • Business Data
  • Publicly available information
  • Model-based predictions
  • Retrieval-augmented generation (RAG)
  • AI agent workflows

You acknowledge that:

  • AI responses may contain errors or outdated information.
  • AI outputs must not be considered professional, legal, medical, financial, or otherwise certified advice.
  • Seekadu is not liable for AI inaccuracies, misunderstandings, or any decisions you make based on AI responses.

5. Business Data and Responsibility

Businesses represent and warrant that:

  • They own or have all necessary rights to the Business Data they upload.
  • All data provided is accurate, lawful, kept up to date, and not misleading.
  • They will not upload copyrighted or restricted content without permission.
  • They will regularly update their information to maintain accuracy.

Seekadu may delete or reject any content deemed inappropriate, harmful, or unlawful.

6. User Conduct

By using Seekadu, you agree not to:

  • Misuse the AI Agent or attempt to manipulate its behavior to produce harmful, deceptive, or unlawful output.
  • Upload harmful code, spam, or malicious files.
  • Scrape, copy, reverse-engineer, or otherwise exploit the platform's data or systems beyond their intended use.
  • Impersonate a business, user, or Seekadu employee.
  • Submit misleading, fraudulent, or offensive content.

Seekadu reserves the right to suspend or terminate accounts that violate these rules.

7. Payments and Subscription Plans

7.1 Business plans

Businesses may subscribe to a free or paid plan, as described on our website. Seekadu may modify pricing, terms, or included features with reasonable notice.

7.2 User plans

Seekadu may offer premium subscription plans for end-users. Pricing and features may change with notice.

7.3 Billing

  • Payments are processed through external payment providers (currently Stripe).
  • Failure to pay may result in service suspension.

7.4 Refunds and cancellation

Refunds and cancellation are governed by the Cancellation & Refund Policy, which includes a 14-day free trial and a 30-day money-back guarantee on Starter and Growth plans. Outside the conditions stated there, fees are non-refundable except where required by applicable law. Enterprise plans are governed by a separate Service Agreement.

8. Lead Generation and Third-Party Platforms

Seekadu may:

  • Provide links to external websites, services, or messaging platforms.
  • Forward qualified leads from end-users to Businesses through the channels the Business has configured.
  • Charge Businesses for qualified leads or conversions, where applicable.

Seekadu is not responsible for:

  • Transactions or interactions completed on third-party platforms
  • Third-party payment providers
  • Third-party service failures
  • Any damages arising from external services

9. Intellectual Property

Seekadu owns all rights to:

  • Platform design, code, architecture, and AI workflows
  • Logos, trademarks, and branding
  • The Business Portal and the AI Agent technology
  • Aggregated and anonymized insights derived from use of the Services

Businesses retain ownership of:

  • Their Business Data
  • Their logos, menus, files, and uploaded content

Users retain ownership of:

  • Their personal data and submitted content

10. License to Use the Platform

Businesses

Each Business grants Seekadu a non-exclusive, worldwide, royalty-free license to use Business Data for the purposes of:

  • Training the Business's AI Agent
  • Displaying information to end-users
  • Delivering recommendations, conversations, and offers on the Business's behalf
  • Improving the platform and AI accuracy, in accordance with the Privacy Policy

Users

Users grant Seekadu permission to use conversational data, on an anonymized and aggregated basis, to improve ranking, recommendations, and AI models, in accordance with the Privacy Policy.

Seekadu does not sell personal data or share it for advertising.

11. Availability and Service Changes

Seekadu may:

  • Update, modify, or remove features
  • Suspend or terminate parts of the platform
  • Perform maintenance at any time
  • Launch new features, channels, or integrations gradually

Seekadu is not liable for downtime, delays, or interruptions, except where required by applicable law.

12. Limitation of Liability

To the maximum extent permitted by law:

  • Seekadu is not responsible for the performance, prices, openings, closings, or service quality of any Business listed on or referenced through the platform.
  • Seekadu is not liable for AI errors, misinterpretations, inaccuracies, or omissions.
  • Seekadu provides the platform "AS IS" and "AS AVAILABLE", without warranties of any kind.
  • Seekadu is not liable for lost profits, data loss, or indirect, incidental, or consequential damages.

Your sole remedy for dissatisfaction with the platform is to stop using it.

13. Indemnification

You agree to indemnify and hold Seekadu (and its directors, employees, and contractors) harmless from any claims, losses, damages, or expenses (including reasonable legal fees) resulting from:

  • Your misuse of the platform
  • Your violation of these Terms
  • Any content you submit
  • For Businesses: any issues arising from your business operations or the data you upload

14. Account Termination

Seekadu may suspend or terminate:

  • User accounts
  • Business accounts
  • Access to the AI Agent
  • Listings or uploaded data

Reasons may include misuse, fraud, violation of these Terms, harmful or illegal activity, or (for Businesses) failure to pay.

15. Privacy Policy

Your use of the Services is also governed by the Seekadu Privacy Policy, which describes:

  • The data we collect
  • How we store and process it
  • Your rights
  • The legal basis for processing

16. Governing Law and Disputes

These Terms are governed by the laws of the Republic of Bulgaria and, where applicable, the law of the European Union.

Any dispute arising out of or in connection with these Terms shall be resolved by the competent courts of Sofia, Bulgaria, without prejudice to any mandatory consumer-protection rights you may have under the law of your country of residence.

17. Changes to These Terms

We may update or revise these Terms from time to time. The "Last updated" date at the top reflects the latest revision. Material changes will be communicated via email and/or in-app notification. Continued use of the Services after a material change constitutes acceptance.
